Terms of Service
1. Acceptance of Terms
By creating an account on GrimOS ("the Platform"), accessible at grimos.app, you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding agreement between you and Grim Empire Holdings LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Ohio.
2. What GrimOS Is — And Is Not
GrimOS is a technology platform that facilitates connections between real estate deal finders ("Supply Partners") and real estate investors ("Buyers"). The Platform provides tools for posting, discovering, and expressing interest in off-market real estate opportunities.
Grim Empire Holdings LLC is NOT a licensed real estate broker, agent, attorney, financial advisor, or fiduciary. We do not represent buyers or sellers. We do not provide legal, tax, or investment advice. We do not guarantee the accuracy, completeness, or legality of any deal posted on the Platform. All transactions, negotiations, and agreements occur solely between users. You are solely responsible for your own due diligence and investment decisions.
3. Eligibility
You must be at least 18 years of age to use the Platform. By registering, you represent that you are 18 or older, that you have the legal capacity to enter into binding contracts, and that your use of the Platform complies with all applicable local, state, and federal laws.
4. User Roles
The Platform has three user roles:
Supply Partners (Deal Finders) — individuals who have equitable interest in, or contractual rights to, real estate properties and wish to post those opportunities to the marketplace.
Buyers (Investors) — individuals or entities who review posted deals, set buy box criteria, and express interest in acquiring properties.
Admin — Grim Empire Holdings LLC, which operates the platform, manages deal flow, and facilitates the transaction process.
5. Supply Partner Representations
By posting a deal on the Platform, you represent and warrant that: (a) you have legitimate equitable interest in or contractual rights to the property described; (b) all information posted is accurate and complete to the best of your knowledge; (c) you have the legal right to market and assign your interest in the property; (d) you are not violating any applicable real estate licensing laws by posting on this Platform.
Any Supply Partner found to have posted fraudulent, fabricated, or misleading deal information will be immediately removed from the Platform and may be subject to legal action.
6. Buyer Representations
By claiming a deal on the Platform, you represent and warrant that: (a) you have the financial capacity or access to financing to complete the transaction; (b) you are acting as a principal investor, not as an unlicensed broker or agent; (c) you will conduct your own independent due diligence on all properties before committing to purchase.
7. Non-Circumvention Agreement
By registering as a Buyer, you expressly agree that you will NOT: (a) contact a seller, property owner, or any party to a deal through channels outside of the Platform for the purpose of acquiring any property you discovered through the Platform, without the involvement and compensation of the Supply Partner who posted the deal; (b) use information obtained through the Platform to reconstruct, replicate, or recreate deals outside of the Platform in order to avoid paying fees or spreads owed to Supply Partners or to Grim Empire Holdings LLC; (c) share deal information with third parties for the purpose of facilitating a transaction that circumvents the Platform.
Violation of this Non-Circumvention Agreement may result in immediate account termination and liability for damages including but not limited to the full assignment fee or spread that would have been earned on the transaction.
8. Fees and Compensation
Grim Empire Holdings LLC earns compensation through the spread between a Supply Partner's lock price and the assign price at which a deal is posted. This spread is disclosed to Admin and incorporated into the deal structure. Supply Partners earn their stated fee at closing, disbursed through title. Buyers pay the posted assign price. By using the Platform you acknowledge and accept this fee structure.
9. Deal Claiming and Contract Process
Claiming a deal on the Platform constitutes an expression of interest, not a binding purchase contract. A binding agreement is only formed when a separate written purchase and sale agreement or assignment agreement is executed by all relevant parties. Grim Empire Holdings LLC will facilitate the contract process following a claim but makes no guarantee of closing timelines or outcomes.
10. Prohibited Conduct
You agree not to: (a) post false, misleading, or fraudulent information; (b) use the Platform for any unlawful purpose; (c) attempt to access any other user's account; (d) scrape, harvest, or systematically extract data from the Platform; (e) use the Platform to spam, harass, or defraud other users; (f) post deals on properties in which you have no legitimate interest; (g) attempt to reverse-engineer, copy, or replicate the Platform's software or functionality.
11. Intellectual Property
All software, design, functionality, branding, and content on the Platform — including the GrimOS name, Grim Empire Holdings LLC branding, and all underlying code — are the intellectual property of Grim Empire Holdings LLC. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without express written permission.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GRIM EMPIRE HOLDINGS LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DEAL INFORMATION POSTED BY USERS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIM EMPIRE HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEALS, OR FINANCIAL LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE PLATFORM IN THE THREE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Grim Empire Holdings LLC and its members, managers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any deal transaction you enter into as a result of using the Platform.
15. Account Termination
We reserve the right to suspend or terminate any account at any time, with or without notice, for any violation of these Terms or for any conduct we deem harmful to the Platform or its users.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Lima, Ohio under the rules of the American Arbitration Association. You waive your right to a jury trial and your right to participate in any class action proceeding.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
